Milestone Carriers Terms and Conditions

Motor carriers · owner-operators · drivers · dispatchers · carrier administrators. Effective date: September 18, 2026

ARTICLE 1 — AGREEMENT, SCOPE AND ACCEPTANCE

1.1 Parties. These Terms and Conditions (these “Terms”) form a binding agreement between Milestone Brokers LLC, USDOT 4250815, MC-1647676, a property broker registered with the Federal Motor Carrier Safety Administration (“Milestone,” “we,” “us”), and each person or entity that creates or uses a registered Milestone Carriers account (“User,” “you”).
1.2 The Platform. The “Platform” means milestonecarriers.us, its registered-user portal, mobile and progressive-web experiences, and the account, verification, team-management, document, load-visibility, messaging, settlement and related services made available through them.

1.3 Role-specific Articles. Articles 7, 8 and 9 apply to particular roles. A User holding more than one role is bound by each applicable Article, and permissions are evaluated separately for each role and each entity relationship.

1.4 Acceptance. You accept these Terms only by an affirmative acceptance action tied to the version presented to you. Browsing a public page, receiving an invitation or entering an email address does not accept these Terms.

1.5 Authority to bind an entity. If you use the Platform for an entity, you represent that you hold actual authority to accept these Terms for that entity as to the functions your account performs.

1.6 Eligibility. You must be at least 18 years old and legally capable of contracting. A feature may impose a higher age, licensing, qualification or authority requirement where law or a governing agreement requires it.

1.7 What these Terms do not cover. These Terms are not a Broker-Carrier Agreement, do not create any right to freight or payment, and are not an authorization for a consumer report or a motor vehicle record. Personal information practices are described in the Privacy Policy; tracking technologies in the Cookie and Tracking Policy; and electronic delivery, signatures and messaging in the Electronic Communications and E-Sign Consent.

ARTICLE 2 — DEFINITIONS

These definitions apply throughout the Milestone Carriers legal documents. “Account” means a registered Platform user account. “Authorized User” means an individual named in an entity’s Platform workspace or in a Dispatcher Authorization and granted specified permissions. “BCA” means the Milestone Carriers Broker-Carrier Agreement between Milestone and a Carrier. “Carrier” means a motor carrier that holds the operating authority required for the transportation it performs and that contracts with Milestone under a BCA. An Owner-Operator acting as the contracting motor carrier is a Carrier. “Carrier Administrator” means an Authorized User who manages a Carrier’s Platform workspace, users and permissions. “Carrier Assignment” means the Platform record identifying the Carrier that has accepted a Shipment. “COI” means a certificate of insurance. “Dispatch” means the Platform event, occurring after the pre-Dispatch verification described in Article 14, that releases a Shipment for performance and creates the Dispatch Record. “Dispatch Company” means an entity that provides dispatch services to one or more Carriers. “Dispatcher” means an individual or Dispatch Company acting for a Carrier under a Dispatcher Authorization. “Dispatcher Authorization” means the carrier-issued, carrier-specific instrument granting a Dispatcher enumerated Platform permissions for that Carrier. “Driver” means an individual who operates a commercial motor vehicle for a Carrier and holds an Account in that capacity. “Factor” means a factoring company to which a Carrier has assigned receivables. “Load” means the Platform record of a Shipment. “Load Opportunity” means a Load displayed to a User before Acceptance. “Motor Carrier” is used only where the regulatory sense is intended and carries its meaning under federal transportation law. “Owner-Operator” means a Carrier that is also the Driver of its equipment. Both the Carrier and Driver obligations apply. “Payee” means the person or entity Milestone pays for a Shipment, which is the Carrier or a verified Factor.

“Qualification” means a Carrier’s overall Platform eligibility state under Article 12. “Rate Confirmation” means the shipment-specific commercial document issued under a BCA. “Settlement” means the calculation and payment of amounts owed to a Payee. “Shipment” means the transportation of one or more vehicles or other property arranged by Milestone and performed by a Carrier. “Verification” means a single check of a stated fact against an identified source at an identified time.

ARTICLE 3 — MILESTONE’S ROLE

3.1 Broker. Milestone Brokers LLC arranges transportation for compensation under its property-broker registration. Independent motor carriers perform the transportation.
3.2 Milestone does not become the carrier. Milestone does not become the Motor Carrier because it operates the Platform, qualifies Carriers, communicates Loads, verifies documents, monitors Shipment status, receives bills of lading or delivery receipts, administers payment, evaluates performance, communicates with Drivers or Dispatchers, or supplies technology.

3.3 Carrier responsibility. The Carrier performs the transportation under its own operating authority and insurance and remains responsible for its drivers, equipment, routing, hours-of-service compliance, loading and securement, safety decisions, driver qualification, personnel and custody of cargo.

3.4 No agency. No User is Milestone’s agent and no User may hold itself out as authorized to bind Milestone or to act on Milestone’s behalf toward a shipper, consignee, facility or third party.

3.5 No professional services. Milestone does not provide legal, tax, insurance, safety or employment advisory services through the Platform.

ARTICLE 4 — ELIGIBILITY AND ACCOUNTS

4.1 Account integrity. Provide accurate, complete and current registration information. Protect passwords, one-time codes, devices and sessions. Individual credentials may not be shared. Notify Milestone promptly of suspected compromise or unauthorized activity.
4.2 No circumvention accounts. You may not create a duplicate or nominee Account to bypass a restriction, an expired document, a claim history, a fraud review, a rejected Qualification, a payment hold or another Platform control.

4.3 Elevated authentication. Milestone may require step-up authentication, a further signature or independent Verification before a sensitive action, including a change to legal-entity information, signer authority, taxpayer information, remittance instructions, factoring assignment or Rate Confirmation acceptance authority.

ARTICLE 5 — BUSINESS AUTHORITY AND AUTHORIZED USERS

5.1 Company workspaces. A Carrier may invite Drivers and Dispatchers, create teams and assign permissions. Access is least-privilege and carrier-specific.
5.2 Administrator duties. A Carrier Administrator maintains the Carrier’s Authorized User list and promptly removes or downgrades access when a Driver, Dispatcher, employee or contractor relationship ends.

5.3 Acts of Authorized Users. An entity is responsible for the Platform acts of its Authorized Users acting within granted permissions.

ARTICLE 6 — CARRIER ACCOUNTS

6.1 Registration. A Carrier registers with its exact legal name, USDOT number and MC number and will operate under that identity.
6.2 Executed agreement required. A Carrier reaches Fully Qualified access only after executing a BCA. These Terms do not create a transportation contract.

6.3 Notice of change. A Carrier will notify Milestone within two business days of a suspension or revocation of operating authority, an out-of-service order, a material safety-rating change, a change in legal name, ownership, control, USDOT or MC number, a bankruptcy or insolvency filing, or a cancellation, non-renewal or material change in required insurance.

6.4 Insurance. A Carrier maintains the coverage the BCA requires and causes its producer to furnish a current COI.

ARTICLE 7 — DRIVER TERMS

This Article applies to a User acting as a Driver.
7.1 Identity and affiliation. Use your own Account, provide your true identity and current contact information, and accurately identify your Carrier affiliation. Do not use a Driver profile under another person’s identity and do not continue to represent a Carrier after that affiliation ends.

7.2 No employment and no guaranteed work. Registration, Verification, an access tier, a Load alert, a performance record or use of Milestone communication tools does not create employment, joint employment, payroll, benefits, an exclusive engagement or a minimum-work commitment between you and Milestone. Your employment or contractor relationship, if any, is with the Carrier or other entity that engages you. Milestone does not hire, employ, supervise, schedule, discipline, discharge or pay you, and does not set your hours, wages, routes or working conditions. Milestone does not guarantee a job, a Load, a route, mileage, earnings, a schedule, Preferred status or continued access.

7.3 Qualification information. Provide accurate commercial driver’s licence class, status, restrictions and endorsements; accurate medical certification status; and truthful driving and equipment experience, equipment familiarity, preferred lanes and availability.

7.4 Duty to update. Promptly report an expiration, suspension, revocation, disqualification, out-of-service status, loss of required medical qualification, or a material restriction affecting your ability to perform an assigned Shipment.

7.5 Document integrity. Do not alter, forge, borrow or misrepresent a licence, medical certificate, motor vehicle record, credential, endorsement, identity document or other qualification record.

7.6 Verification is a separate consent. Verification of the documents and information you submit is authorized through the separate Driver Verification Consent, presented before Verification begins. These Terms are not that consent.

7.7 Safety. You remain responsible for safe and lawful operation within the responsibilities the Carrier and applicable law assign to you. No Platform message, status requirement, alert or performance metric requires unsafe or unlawful operation. You may refuse or discontinue an instruction that would violate hours-of-service limits, licensing restrictions, weight or equipment limits, securement requirements, weather or safety judgment, or another legal duty, and should promptly tell the Carrier and Milestone operations.

7.8 Shipment reporting. Use the Load status tools accurately. Do not falsely report pickup, delivery, location, vehicle condition or availability. Promptly report a delay, accident, damage, theft, breakdown, rejected vehicle, inaccessible facility, missing release, no-show or other material exception.

7.9 Accident and incident reporting. Report an accident, injury, cargo theft or damage incident to the Carrier immediately and to Milestone operations as soon as it is safe to do so, preserve evidence including photographs and documents, and cooperate with the Carrier, its insurer and the claims process. Report to emergency services first where the situation requires it.

7.10 Authority limits. You may not bind a Carrier to a Shipment, negotiate a rate, accept or sign a Rate Confirmation, change payment, factoring or taxpayer information, or appoint another user, unless the Carrier has expressly granted that authority and Milestone has enabled the corresponding permission. Your operational acknowledgment of Shipment instructions does not bind the Carrier.

7.11 Location features. If you enable a location feature, you authorize the collection and sharing described in the just-in-time notice for the stated operational purpose. The Platform indicates when precise or background location is active and stops collection when the feature ends or you disable the device permission. You may not use another person’s location data for stalking, harassment, retaliation or personal surveillance.

7.12 The Carrier’s independent duties. The responsible motor carrier has independent legal duties to qualify and supervise its drivers. A Verification performed on the Platform does not perform, replace or discharge the Carrier’s driver qualification file, annual review or other statutory duty.

ARTICLE 8 — DISPATCHER TERMS

This Article applies to a User acting as a Dispatcher or Dispatch Company.

8.1 Business information. Provide your true legal and business name, contact information, Authorized Users, the Carriers you represent, the drivers and equipment you manage, equipment types, regions and lanes. Do not impersonate a Carrier, a broker, a Driver, a shipper or a Milestone employee.
8.2 Carrier-specific written authority required. You may access or act for a Carrier only after Milestone records a valid Dispatcher Authorization from that Carrier. Each represented Carrier requires a separate Authorization. Access is limited to the named Carrier, the named Authorized Users, the effective dates and the specifically granted permissions.

8.3 Immediate cessation. Stop acting for a Carrier immediately when the Carrier revokes authority, the Authorization expires, the dispatch relationship ends, the Carrier’s legal name, ownership, USDOT or MC number changes, or Milestone suspends access while authority is disputed.

8.4 Not Milestone’s agent. You are not Milestone’s employee, agent, partner or representative, and are not a bona fide agent of Milestone. You do not act for Milestone toward a shipper, consignee, facility, carrier or other third party, and may not represent otherwise.

8.5 No Milestone broker authority. You do not hold and do not act under Milestone’s broker operating authority. Unless you independently hold the broker operating authority required and Milestone has separately approved a broker role in writing, you will not use the Dispatcher role to hold yourself out to shippers as an independent arranger of transportation, accept shipper compensation for arranging transportation, tender freight in your own name, or allocate freight among multiple carriers outside carrier-specific instructions. A job title does not substitute for authority.

8.6 Permissions are express. No permission arises from these Terms. All Dispatcher permissions come from the Dispatcher Authorization, and no permission is implied by the grant of another. Rate visibility, rate negotiation, Load acceptance and Rate Confirmation signing are off unless expressly granted.

8.7 Financial access limits. The Dispatcher role never permits a change to payment, factoring, taxpayer or legal-entity information. Those changes require the Carrier’s separately authenticated owner or officer workflow. Settlement and payment-information visibility, where granted, is read-only and masked.

8.8 Carrier direction and conflicts. Act within the represented Carrier’s instructions. Do not use one Carrier’s confidential capacity, rate or customer information for another Carrier, manipulate rate competition, divert an accepted Shipment, or conceal which Carrier will actually perform a Shipment.

8.9 No re-brokering, substitution or delegation. Do not re-broker, double broker, subcontract, substitute another Carrier, transfer a Load, appoint a sub-dispatcher or use another entity’s operating authority, except with the specific approvals the BCA and applicable law require. Never conceal the identity of the Carrier that will actually perform the transportation.

8.10 Disclosure obligations. Disclose to Milestone, on registration and on any material change: whether you use subcontracted dispatch personnel, sub-dispatchers or personnel located outside the United States, and where Carrier or Driver data will be accessed or stored; the general structure of your compensation from each represented Carrier, including whether you are paid a percentage of linehaul revenue, a flat fee, a per-load fee or another arrangement; and whether you or a commonly controlled entity holds motor carrier or broker operating authority. Access by personnel outside the United States requires Milestone’s prior approval and the Carrier’s knowledge. These facts are compliance and risk information. They do not by themselves make you a broker, and Milestone evaluates them together with the actual functions performed.

8.11 Individual credentials. Each Dispatcher user must hold an individual Account. Shared office logins are prohibited. On revocation or expiry of an Authorization, Carrier-scoped sessions and delegated permissions end immediately.

8.12 Compensation. Your compensation is a matter between you and your Carrier unless a separate signed agreement with Milestone states otherwise. Milestone is not responsible for your compensation.

ARTICLE 9 — CARRIER AND DISPATCHER AUTHORITY

9.1 Source of authority. A Dispatcher’s authority comes only from a current Dispatcher Authorization issued by the represented Carrier and recorded by Milestone.
9.2 Default term. If no expiration is stated in a Dispatcher Authorization, it expires twelve months after its effective date and does not renew automatically.

9.3 Named individuals. Permissions attach to individuals named in the Authorization. Employment by or association with a Dispatch Company does not confer access.

9.4 Acceptance ceiling. Where Load acceptance or Rate Confirmation signing is granted, a per-load ceiling must be stated. An attempted acceptance above the ceiling is rejected and does not bind the Carrier.

9.5 Automatic termination. An Authorization terminates automatically on its expiration, on a change in the Carrier’s legal name, ownership, control, USDOT or MC number, on termination of the Carrier’s BCA, or when the Carrier enters a Blocked account state.

9.6 Acts already taken. Revocation does not undo a Rate Confirmation validly accepted while the permission was active and within its ceiling. A later grant of permission does not validate an acceptance made without permission.

ARTICLE 10 — VERIFICATION AND QUALIFICATION

10.1 Sources. Milestone may compare submitted information against current federal motor carrier registration and safety systems, insurers and insurance producers, issuing authorities, public records, verification providers and other lawful sources.
10.2 Status labels describe a Platform state. A label such as “Verified,” “Document Verified,” “Fully Qualified” or “Preferred” describes an internal eligibility state determined at a recorded time. It is not a guarantee of safety, insurance coverage, legal compliance, performance, creditworthiness or future eligibility.

10.3 Upload is not approval. Submitting a document does not approve it. Milestone may request an original, producer confirmation, issuing-authority confirmation, a corrected copy or other evidence reasonably necessary to verify a material fact.

10.4 Verification source discrepancy. Government and third-party data may be delayed, incomplete, unmigrated or unavailable. Milestone distinguishes a confirmed adverse result, in which an identified source affirmatively reports that required authority or coverage is inactive, suspended, revoked or cancelled, from a source discrepancy, in which a source returns no record, an incomplete record or a record inconsistent with other reliable evidence. Milestone does not treat a source discrepancy alone as proof that legally required authority or insurance does not exist, and does not downgrade an access tier, change an account state or withhold Dispatch on that basis alone. Milestone instead seeks secondary confirmation through one or more of: direct confirmation from the insurer or its producer; an authenticated COI; evidence from the Carrier’s own account in the applicable federal registration system; another appropriate federal record; or documented manual compliance review. Milestone records the source, the retrieval timestamp, the nature of the discrepancy, the secondary evidence obtained, the reviewer and the resolution. A source discrepancy does not relieve a User of the obligation to hold and maintain the authority, insurance, licensing and qualifications that law and its agreements require.

ARTICLE 11 — DOCUMENTS AND ACCURACY

11.1 Duty to keep current. Keep requested documents accurate, legible and current and promptly report cancellation, expiration, suspension, revocation, ownership change, authority change, insurance change, driver disqualification, material equipment change and any other fact that makes prior information inaccurate.
11.2 Expiry reminders. Milestone sends reminders before a document expires. A reminder is a convenience and does not transfer to a User the duty to maintain current authority, insurance, drivers and documents.

11.3 Third-party records. You may not upload or submit another person’s motor vehicle record or consumer report without lawful authority to do so.

ARTICLE 12 — LOAD ACCESS AND ELIGIBILITY

12.1 Four distinctions. Qualification is a Carrier’s overall eligibility state. Verification is a single check against an identified source at an identified time. Visibility is what the Platform displays. Eligibility is whether a Carrier satisfies the gates and load-specific requirements for a particular Load. Separately, commercial ranking is Milestone’s discretionary ordering of eligible Carriers, award is Milestone’s decision to offer a Load, Acceptance is the binding contractual event, Carrier Assignment is the record of the accepted Carrier, and Dispatch is the release for performance.
12.2 Access tiers. Tier: Tier 0 — Unverified. Requirements: Account exists; identity and documents not yet reviewed. Access: Profile and onboarding only Tier: Tier 1 — Verified Documents. Requirements: Documents and identity reviewed; BCA or insurance gates not yet fully satisfied. Access: Lane-matched Load Opportunities without rates. No Acceptance Tier: Tier 2 — Fully Qualified. Requirements: Required authority active; required insurance and COI verified; BCA executed and active; current Qualification record; no blocking condition. Access: Full details and rates for eligible Loads; Acceptance permitted Tier: Tier 3 — Preferred. Requirements: Fully Qualified plus approved performance and commercial criteria. Access: Priority or premium Load Opportunities where offered. Waives no gate

12.3 Account states. An Account carries exactly one access tier and exactly one account state: Active, Restricted (a specific feature, document, equipment, lane or permission issue), Suspended (no new Carrier Assignment or Dispatch until cured), Blocked (confirmed serious fraud or double brokering, confirmed insurance misrepresentation, a disqualifying out-of-service condition, or fraudulent identity), or Archived. Pending Review is a review sub-state within Tier 0 or Tier 1 and is not an access tier; Acceptance is unavailable while it applies.

12.4 Gates. Gates are of three kinds and are described accordingly. A discretionary Milestone requirement is never described as a legal requirement. Legal gates: required operating authority active for the Shipment; no applicable disqualifying out-of-service condition; public liability coverage and any filing required by law. No commercial override is available where performance would be unlawful. Contractual gates: an executed and active BCA; the contractual insurance limits it requires; a current COI; the high-value cargo rule where triggered; and no Blocked state. Discretionary gates: load-specific equipment and capacity fit; documentation currency; risk-review outcomes; and commercial ranking criteria.

12.5 Load-specific eligibility. Eligibility for a particular Load may also depend on pickup and delivery region or lane; equipment type, including open or enclosed configuration, trailer type, vehicle capacity and special equipment; vehicle size, operability and declared value; availability and the pickup and delivery windows; facility, port or auction access requirements; a driver or carrier qualification required for a special movement; current region, deadhead or corridor match where enabled; and lawful customer requirements disclosed before Acceptance.

12.6 Driver and Dispatcher conditions. A Carrier may be Fully Qualified while an individual Driver or Dispatcher lacks permission for a specific action. A Dispatcher’s lack of Acceptance permission does not make the Carrier ineligible; it disables that Dispatcher’s action only, and another authorized Carrier representative may accept.

12.7 Access changes. Event: COI expires, or required coverage cannot be verified after secondary verification under Article 10.4. Typical effect: Suspended, or downgrade to Tier 1, according to the confirmed state Event: Required operating authority confirmed inactive. Typical effect: Suspended; visibility and Acceptance withdrawn as configured Event: BCA terminates. Typical effect: No Acceptance; Account may remain for records and profile Event: Dispatcher Authorization revoked or expires. Typical effect: Dispatcher loses that Carrier’s permissions; Carrier status unchanged Event: Driver credential expires. Typical effect: Driver Restricted; Carrier assigns a qualified Driver Event: Equipment or capacity mismatch. Typical effect: Ineligible for the affected Load only Event: Confirmed double brokering or fraud. Typical effect: Blocked Event: Performance decline without a gate failure. Typical effect: Preferred status may be removed or ranking reduced after documented review. This is a commercial ranking change, not a loss of qualification Event: Source discrepancy under Article 10.4. Typical effect: No automatic change; secondary verification applies

ARTICLE 13 — LOAD OPPORTUNITIES

13.1 Visibility is not award. Visibility is not eligibility. Eligibility is not an award. A notification is not a tender. Expressing interest is not Acceptance.
13.2 Commercial ranking and Preferred status. After the gates in Article 12.4 are satisfied, Milestone may rank or prioritize eligible Carriers on lawful commercial and performance criteria. Preferred status may provide earlier or priority access to some Load Opportunities. It does not guarantee an award, a rate, volume or revenue, and cannot override inactive authority, expired insurance, a disqualifying safety condition or an absent Dispatcher authorization.

13.3 No guarantee. Load visibility, eligibility, Preferred status, a notification, a lane match or an expression of interest does not guarantee that Milestone will award a Load, that a Load will remain available, or that a rate, window or requirement will not change before Acceptance. Milestone does not guarantee employment, contractor status, freight, volume, revenue, utilization, mileage, margin, lane availability or continued access.

13.4 Confidentiality of Load data. Load data and rates shown at Tier 2 and Tier 3 are confidential and may be used only for the represented Carrier’s authorized transportation decision.

ARTICLE 14 — LOAD LIFECYCLE

The Platform uses one Load lifecycle. “Booking” is a user-interface term for Acceptance. Acceptance, Carrier Assignment and Dispatch are distinct events and are not interchangeable. State: Available. Meaning: Milestone holds the Shipment and has not released it. Contractual significance: None State: Visible. Meaning: Displayed to a User at that User’s access tier. Contractual significance: None State: Eligible. Meaning: Carrier satisfies the gates and load-specific requirements. Contractual significance: None State: Offered. Meaning: Milestone tenders the Load, or invites or receives interest or negotiation. Contractual significance: None, unless separate written terms provide otherwise State: Accepted. Meaning: An authorized Carrier representative, or a Dispatcher expressly authorized to accept, accepts the Rate Confirmation before it expires. Contractual significance: Binding. The Shipment contract arises here, under the BCA State: Assigned. Meaning: The Platform records the Carrier Assignment. Contractual significance: Contract already binding; system state only State: Dispatched. Meaning: Pre-Dispatch verification passes and the Dispatch Record is created. Contractual significance: Performance state; creates no new contract State: Picked Up. Meaning: Carrier takes custody and submits the pickup bill of lading, condition record and photographs. Contractual significance: Performance state; custody begins State: In Transit. Meaning: Shipment is moving. Contractual significance: Performance state State: Delivered. Meaning: Carrier delivers to the authorized consignee. Contractual significance: Performance state; custody ends State: POD Verified. Meaning: Milestone accepts the delivery evidence. Contractual significance: Payment precondition State: Payment Eligible. Meaning: Complete invoice package and Payee verification satisfied. Contractual significance: Payment precondition State: Settled. Meaning: Payment instruction completed. Contractual significance: Discharge of the payment obligation

ARTICLE 15 — LOAD ACCEPTANCE AND ASSIGNMENT

15.1 Acceptance is the binding event. A Shipment becomes binding when an authorized Carrier representative, or a Dispatcher whose current Dispatcher Authorization expressly includes Rate Confirmation acceptance and whose per-load ceiling is not exceeded, accepts the Rate Confirmation by the method it states and before it expires.
15.2 Driver acknowledgment. A Driver’s operational acknowledgment does not bind the Carrier unless the Driver separately holds that authority.

15.3 Certification. By accepting a Rate Confirmation, and again as of Dispatch, the Carrier certifies that its required operating authority is active, the required insurance is in force, no applicable out-of-service prohibition bars performance, it holds the equipment and capacity the Shipment requires, and it has not transferred and will not transfer the Shipment to an unauthorized party.

15.4 Dispatch. Dispatch occurs only after the required pre-Dispatch verification record exists, the Rate Confirmation has been accepted, and the Dispatch Record is created.

15.5 Immutability. An accepted Rate Confirmation is immutable. A material commercial change after Acceptance creates an amendment version requiring its own Acceptance.

ARTICLE 16 — SHIPMENT RECORDS

16.1 Records required. Users responsible for a Shipment accurately submit the pickup and delivery condition records, bill of lading, delivery receipt, photographs, and reports of delay, damage, theft, accident, rejected vehicle, access problem, no-show and other material exception, as the BCA and Rate Confirmation require.
16.2 Delivery to the authorized consignee. Do not deliver to a person other than the authorized consignee and do not materially change the transportation instruction without the required authorization.

16.3 Integrity. Do not falsify, alter, recycle or backdate a bill of lading, delivery receipt, photograph, signature, location record or condition record.

ARTICLE 17 — PERFORMANCE INFORMATION

17.1 Records maintained. The Platform maintains Qualification and post-Shipment performance information, which may include authority and insurance status, equipment fit, response time, on-time pickup and delivery, cancellations, truck-ordered-not-used events, claims, documentation quality, dispute outcomes and documented operational notes.
17.2 Gates and ranking are separate. Compliance gates are maintained separately from discretionary commercial ranking.

17.3 Automated processing and human review. The Platform applies automated rules to determine access tier and eligibility and applies commercial ranking to eligible Carriers. You may request correction of objectively inaccurate Account information and may request human review of an access decision under Article 25. Milestone acknowledges a correction or review request promptly and provides a decision, or identifies the further evidence required, within ten business days.

17.4 Not consumer reports. Performance and Qualification records the Platform generates from Shipment activity are Milestone’s own business records and are not consumer reports obtained from a consumer reporting agency.

17.5 Confidential controls. Milestone may withhold the detail of security models, fraud indicators and proprietary ranking logic where disclosure would undermine security, fraud prevention, another person’s rights or a legal obligation.

ARTICLE 18 — PAYMENTS AND FINANCIAL FEATURES

18.1 Source of payment rights. Payment rights arise from the BCA, the accepted Rate Confirmation and the payment provisions of the BCA, not from Account status. These Terms create no payment right.
18.2 Tax information. A Payee completes the required taxpayer setup before the first payment. Milestone uses the official current Internal Revenue Service Form W-9 or an electronic process satisfying the applicable Internal Revenue Service requirements. Tax collection is a payment gate, not a registration gate.

18.3 Payment-direction changes. A factoring or assignment instruction takes effect through the Factoring Authorization and Notice of Assignment process. A change to remittance instructions, a Factor, a bank account or taxpayer information requires independent authentication through the contact of record held before the request. An email, invoice footer or attachment alone does not redirect payment.

18.4 A Factor is not the tax Payee. Tax identity and payment direction are separate records.

ARTICLE 19 — FRAUD, IDENTITY ABUSE AND DOUBLE BROKERING

You may not:
(a) commit fraud, identity theft or impersonation; forge a signature; or submit false insurance, authority, registration, equipment, location or availability information;

(b) double broker, re-broker without authorization, substitute an undisclosed carrier, operate through a shell or nominee entity, or use another carrier’s operating authority;

(c) make an unauthorized banking or factoring change, divert a payment, or submit a false, altered or duplicate invoice or delivery record;

(d) share credentials, bypass authentication or access controls, scrape restricted Load data, attack the Platform or its interfaces, introduce malicious code, or reverse engineer the Platform;

(e) harass, discriminate against, threaten, stalk or retaliate against any person, or misuse another person’s documents or location data. Confirmed fraud or double brokering results in a Blocked account state and may result in termination, the remedies in the BCA, and referral to appropriate legal and financial authorities. A Blocked state is not reversed by the passage of time, by a new Account, or by a change of entity name where the underlying identity and control are unchanged.

ARTICLE 20 — PLATFORM COMMUNICATIONS

20.1 Categories. Milestone sends account and security, operational, Load, document and compliance, and payment communications through in-Platform notices, email, push notification, telephone and text message as permitted by law and your settings.
20.2 Marketing is separate and optional. Marketing consent is never a condition of Account access, Qualification, Load visibility, Acceptance or payment.

20.3 Governing consent. The Electronic Communications and E-Sign Consent governs category opt-in, revocation, contact hours, artificial and prerecorded voice, and call recording.

20.4 Do not rely on text messages alone. Mobile networks can delay or filter messages. Check your Account and email for time-sensitive records.

20.5 Contact information. Keep Account contact information current. If a legally significant electronic notice fails to deliver, Milestone may use another lawful channel and may restrict new transactions until reliable contact is restored.

ARTICLE 21 — ELECTRONIC CONTRACTING

21.1 Consent. Electronic delivery of records and the use of electronic signatures are governed by the Electronic Communications and E-Sign Consent.
21.2 Effect. To the extent applicable law permits, an electronic signature has the same legal effect as a handwritten signature.

21.3 Evidence. Milestone records the document, its version and content identifier, the exact acceptance language displayed, the signer, the represented entity and role, the timestamp, the signature method and the related transaction identifiers.

21.4 Authority. If you sign for an entity or another person, you represent that you hold actual authority to do so.

ARTICLE 22 — CONFIDENTIALITY AND DATA USE

22.1 Confidential information. Load details, rates, customer and shipper contacts, Driver information, Carrier documents, Settlement data, nonpublic location data and Account information are confidential.
22.2 Permitted use. Use confidential information only for the authorized Platform and transportation purpose. Do not export, sell, scrape, publish or reuse it for an unrelated purpose.

22.3 Need to know. Carrier Administrators and Dispatchers limit access to personnel who need the information for the represented Carrier and promptly remove access when the business need ends.

22.4 Personal information. The Privacy Policy describes the collection, use, disclosure, retention and rights framework for personal information. The Cookie and Tracking Policy describes tracking technologies. These Terms do not modify either.

ARTICLE 23 — THIRD-PARTY SERVICES

The Platform may interoperate with federal motor carrier systems, insurers, verification providers, payment providers, communications providers and mapping services. Third-party availability and accuracy are not guaranteed and third-party terms may apply to features those parties provide.

ARTICLE 24 — INTELLECTUAL PROPERTY

24.1 Milestone property. Milestone and its licensors retain all rights in the Platform, its software, design, trademarks and original content. You receive a limited, revocable, non-transferable, non-sublicensable right to use the Platform for authorized business purposes.
24.2 Your information. You retain ownership of information you lawfully submit. You grant Milestone a non-exclusive licence to host, store, process, transmit, display, verify and use that information solely to operate and secure the Platform, perform contracted services, meet legal and recordkeeping obligations, and produce aggregated or de-identified information that does not identify you, your personnel or your rates.

24.3 Limits on use. Milestone does not sell User personal information, and does not use identifiable Carrier rate information or Driver personal information to train models made available to third parties.

24.4 Feedback. Milestone may use feedback you volunteer about the Platform without obligation.

ARTICLE 25 — SUSPENSION, RESTRICTIONS AND TERMINATION

25.1 Grounds. Milestone may restrict or suspend Platform features where an objective gate fails, or on a security incident, suspected fraud, conflicting payment direction, legal order, material breach, unsafe or unlawful conduct, or other documented risk.
25.2 Record. A restriction record identifies the triggering condition, the source and its timestamp, the rule type applied, and the decision-maker.

25.3 Notice. Where disclosure would not compromise security, fraud controls, another person’s privacy or a legal obligation, Milestone gives the affected User a general reason and a method to submit corrected information or request review.

25.4 Review. A User may request review of an access decision by submitting corrected documents or identifying an objective error. Milestone acknowledges promptly and provides a decision, or identifies the further evidence required, within ten business days.

25.5 Reinstatement. Where the triggering condition is cured and verified, Milestone restores the prior tier and account state and records the evidence, the reviewer and the restoration time. Where the condition arose from a source discrepancy that secondary verification resolves in the User’s favour, restoration is immediate on resolution.

25.6 Blocked state. A Blocked state is reversed only by a written decision identifying the original finding, the evidence reviewed on reconsideration, the basis for reversal, and the approver.

25.7 Emergency restriction. Milestone may impose an immediate Restricted or Suspended state on credible evidence of fraud, payment diversion, credential compromise, cargo theft or an imminent safety risk, reviewed under this Article promptly and in any event within five business days.

25.8 Consumer report decisions. A decision based in whole or in part on a consumer report follows the separate adverse action process, and the applicable fair-chance sequence where one applies, rather than this Article alone.

25.9 Termination. Either party may terminate the Account relationship on notice. Termination does not cancel an accepted Shipment, a payment obligation, or a right or obligation that by its nature survives.

ARTICLE 26 — DISCLAIMERS

26.1 Platform. To the fullest extent permitted by law, the Platform is provided “as is” and “as available.” Milestone does not warrant that a User, Carrier, Driver, Dispatcher, Load, rate, insurer, Factor, government record, location signal or third-party service is accurate, available, compliant or suitable because it appears on the Platform.
26.2 Availability. Milestone may maintain, update, modify or discontinue features and does not warrant uninterrupted or error-free operation.

ARTICLE 27 — LIABILITY

27.1 Excluded damages. To the fullest extent permitted by law, Milestone is not liable under these Terms for indirect, incidental, special, exemplary, punitive or consequential damages, or for lost profits, revenue or data, arising solely from use of or inability to use the Platform.
27.2 Cap. For a claim governed only by these Terms, Milestone’s aggregate liability will not exceed the greater of twenty-five thousand dollars ($25,000) or the Platform fees paid by the claimant to Milestone in the twelve months preceding the event giving rise to the claim.

27.3 Exclusions. Sections 27.1 and 27.2 do not apply to: death or bodily injury; fraud or fraudulent misrepresentation; gross negligence or willful misconduct; a party’s indemnification obligations; amounts owed for transportation actually performed; liability under the BCA or a Rate Confirmation; or any liability that applicable law does not permit to be excluded or limited.

27.4 Relationship to commercial agreements. This Article states a Platform-only allocation. It does not replace, reduce or expand a liability allocation stated in the BCA, a Rate Confirmation or another signed commercial agreement.

27.5 Savings. If a limitation in this Article is held unenforceable, it applies to the maximum extent permitted and the remainder stays in effect.

ARTICLE 28 — INDEMNIFICATION

28.1 User indemnity. To the maximum extent permitted by applicable law, a business User will defend and indemnify Milestone against third-party claims to the extent caused by that User’s material breach of these Terms, fraud, unauthorized brokerage or re-brokering, unlawful submission of data, infringement of intellectual property, or negligent or willful misconduct.
28.2 Limits. No User is required to indemnify Milestone for Milestone’s own negligence, willful misconduct or violation of law, or in respect of a User’s own direct statutory claim against Milestone. This Article does not apply where applicable law prohibits the indemnity.

28.3 Procedure. Milestone will give prompt notice of a claim, allow the indemnifying party to control the defense with counsel reasonably acceptable to Milestone, and cooperate at the indemnifying party’s expense. No settlement imposing a non-indemnified obligation on Milestone may be made without Milestone’s consent, not unreasonably withheld.

28.4 Transportation indemnities. The BCA contains the transportation indemnities that govern the broker-carrier relationship and controls over this Article as to matters within its scope.

ARTICLE 29 — DISPUTES

29.1 Notice and informal resolution. Before commencing proceedings on a claim governed by these Terms, the claiming party will give the other written notice describing the claim and the relief sought, and the parties will attempt good-faith resolution for thirty (30) days.
29.2 Forum. The parties consent to the exclusive jurisdiction of the state and federal courts sitting in Kings County, New York, unless a mandatory legal requirement directs another forum.

29.3 Jury waiver. To the extent enforceable under applicable law, each party waives trial by jury in any proceeding arising out of these Terms.

29.4 Preserved claims and remedies. Section 29.1 does not bar an application for injunctive or other equitable relief to prevent imminent harm, to protect confidential information or intellectual property, or to preserve cargo or evidence. Nothing in this Article waives a statutory right or remedy that applicable law does not permit to be waived, limits a party’s right to bring a matter before a government agency, or alters the treatment of cargo loss and damage claims governed by federal transportation law.

29.5 No class-action waiver. These Terms do not waive any right to participate in a class or collective proceeding.

29.6 Business-to-business disputes. A dispute arising under a BCA is governed by the dispute provisions of that agreement.

ARTICLE 30 — GOVERNING LAW

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules, except that federal transportation law governs where it applies and except where a mandatory law of another jurisdiction applies.

ARTICLE 31 — CONTRACT HIERARCHY

31.1 Order of precedence. Where a conflict exists, the following order controls, from highest to lowest: • Law that the parties may not vary by agreement; • the BCA; • the Rate Confirmation, as to shipment-specific commercial terms and only where it expressly identifies any BCA provision it modifies; • the Dispatcher Authorization, as to a Dispatcher’s authority for a specific Carrier; • the Factoring Authorization and Notice of Assignment, within the payment-assignment scope; • these Terms, as to general Platform use; • public operational policies, within their respective scope.
31.2 Regulated consents sit outside this order. A consent or authorization required by law — including a disclosure and authorization for a consumer report, a motor vehicle record authorization, the Driver Verification Consent, the Electronic Communications and E-Sign Consent, a privacy consent and a tracking-technology choice — governs only the regulated activity it addresses. It is neither subordinate to nor superior to the instruments listed in Section 31.1, and no commercial instrument modifies it.

31.3 No amendment by acceptance. Accepting these Terms does not amend a BCA, Rate Confirmation, Dispatcher Authorization or other separately signed agreement.

31.4 Policies do not override signed agreements. An operational policy supplements the instruments above it and does not modify a signed agreement.

ARTICLE 32 — CHANGES

Milestone may change these Terms prospectively. A material change is presented with reasonable notice and, where required, fresh acceptance before it applies. Accepted versions remain available in your Account document archive.

ARTICLE 33 — GENERAL PROVISIONS

33.1 Force majeure. Neither party is liable for delay or failure in performance, other than a payment obligation for transportation already performed, caused by an event beyond its reasonable control, including natural disaster, severe weather, fire, flood, epidemic, war, civil unrest, terrorism, labor disruption, governmental action, failure of a public utility, telecommunications failure, or failure or unavailability of a government data system. The affected party will give prompt notice and use reasonable efforts to resume performance.
33.2 Severability. If a provision is unenforceable, it is limited to the minimum extent necessary and the remainder stays in effect.

33.3 Waiver. A failure to enforce a provision is not a waiver of it.

33.4 Assignment. A User may not assign these Terms, an Account or a delegated permission without Milestone’s written consent. Milestone may assign these Terms to a successor in a merger, reorganization or sale of the business or assets to which they relate, subject to applicable privacy and contractual obligations.

33.5 Survival. Articles 2, 3, 9.6, 12, 13.3, 14, 16, 17, 18, 19, 21, 22, 24, 25.9, 26, 27, 28, 29, 30, 31, 33 and 34 survive termination, together with any other provision that by its nature should survive.

33.6 Language. These Terms are published in English, Russian and Spanish. The English version is the version Milestone presents for acceptance and is the version that governs the interpretation and enforcement of these Terms. A translation is provided for convenience. Where a translation differs from the English version, the English version controls. This Section does not limit a right that applicable law grants you in respect of a language in which a communication was made to you.

33.7 Entire agreement. These Terms, together with the documents identified in Article 31, state the entire agreement between the parties as to general Platform use and supersede prior understandings on that subject.
