Milestone Carriers Electronic Communications and E-Sign Consent

Electronic records · electronic signatures · messages and calls. Effective date: September 18, 2026. This document covers two related subjects: how Milestone Brokers LLC (“Milestone”) delivers records electronically and takes electronic signatures, and how Milestone contacts you. The consent controls are separate. Agreeing to electronic records is not agreement to marketing. Agreeing to operational messages is not agreement to marketing. Each category in Part 2 is chosen separately, and marketing is never a condition of registration, Qualification, Load access, payment or any Milestone service. Capitalized terms used and not defined here carry the meanings given in Article 2 of the Milestone Carriers Terms and Conditions.

PART 1 — ELECTRONIC RECORDS AND SIGNATURES

A. Consent to Electronic Records

By accepting this Consent you agree to receive electronically the records listed below for your Account and, where you act for an entity, for the entity records you are authorized to receive. • The Terms and Conditions, Privacy Policy and Cookie and Tracking Policy. • The Broker-Carrier Agreement and its amendments, where you are an authorized signer. • Dispatcher Authorizations and permission changes. • The Driver Verification Consent and, where electronic execution is legally permitted for them, screening disclosures and authorizations. • Rate Confirmations and Shipment-specific notices. • Tax workflow records, and factoring and assignment documents. • Account, Verification, document, compliance, insurance-expiration, access-change, restriction and review notices. • Bills of lading, delivery receipts, invoices, Settlement statements and other transaction records. Your consent remains effective until you withdraw it for future records. How records are delivered. Displayed in your Account or its document archive; sent by email or by a secure link to the email address of record; presented on screen immediately before an acceptance or signature; made available for download; or through an agreed electronic signature service.

B. Electronic Signatures

Methods. Where a signature is requested you may sign by an unchecked acceptance control, a click-to-sign action, a typed name, a drawn signature, an authenticated one-time code, or an integrated electronic signature service, as the Platform designates for that record. Effect. To the extent applicable law permits, an electronic signature has the same legal effect as a handwritten signature. Authority. If you sign for an entity or another person, you represent that you hold actual authority to do so. Evidence. For each acceptance or signature event Milestone records the document name, version and content identifier; the exact acceptance language displayed to you; the signer, user, Account, entity and role; the timestamp; the signature method; the related Carrier, Rate Confirmation, Load or Authorization identifiers where applicable; and, for this Consent, the sample-record display event. Milestone also records supporting technical information such as IP address and device and browser information. That information strengthens the record; it is not a condition of the validity of your signature. Acceptance and signature records are append-only. A later withdrawal, revocation or replacement creates a new record rather than overwriting the original.

C. Hardware and Software You Need

• An internet-connected computer, tablet or smartphone. • A current web browser able to display ordinary web pages and PDF files. • A valid email account and access to the email address of record. • The ability to download, save or print records. • Access to the registered telephone number, where you select a text-message authentication method. Demonstrating access. Before your first consent, Milestone displays a sample record in the same general format used for actual legal records, together with these requirements. Viewing the sample demonstrates that you can access records in that format, and Milestone records that the sample was displayed. A download option is offered; you are not required to download the sample in order to consent. If the requirements change. If Milestone changes these requirements in a way that creates a material risk that you will no longer be able to access or retain records, Milestone will provide you with a statement of the revised requirements and of your right to withdraw this Consent without any fee or condition, and will obtain your consent again where applicable law requires it.

D. Paper Copies

You may request a paper copy of a retained electronic record by contacting info@milestonebrokers.us. Milestone does not charge for an ordinary paper copy. A third-party certified mail or courier charge is passed through only where you specifically request that delivery method and the charge is disclosed to you in advance.

E. Withdrawal

You may withdraw consent to electronic records for the future through your Account settings, or by emailing info@milestonebrokers.us with “Withdraw E-Sign Consent” in the subject line. Milestone will confirm the withdrawal and the categories it affects. Withdrawal applies going forward. It does not invalidate a record already delivered or a signature already given, and does not cancel an agreement already in effect or a Shipment already accepted. Because the Platform is built for electronic contracting, withdrawal may prevent new transactions or features that require electronic delivery.

F. Contact-Information Changes

Keep your email address, telephone number and Account contact information current. If a legally significant electronic notice fails to deliver, Milestone may use another lawful channel and may restrict new transactions until reliable contact is restored.

G. Retention and Accurate Reproduction

Milestone retains electronic records in a form that remains accessible to the persons entitled to them and that is capable of accurate reproduction for later reference, for the retention periods stated in the Privacy Policy. Your Account document archive provides access to accepted versions and your consent history for the applicable retention period.

H. Records Requiring Separate Treatment

This Consent does not replace the content or the separate presentation that applicable law requires for a screening disclosure or authorization, a motor vehicle record authorization, the official Internal Revenue Service Form W-9 or its compliant electronic equivalent, a biometric consent, or a marketing consent. Each is preserved separately, and an electronic method is used only where applicable law permits it for that instrument. A Carrier may use its own bill of lading or signature system. This Consent does not override another party’s valid system and does not eliminate a paper or original requirement imposed by law, by an agency, or by a separately controlling agreement.

PART 2 — COMMUNICATIONS

You represent that you are the subscriber or the customary user of any telephone number you provide, or that you are authorized to provide it for the categories you select. Milestone records the exact language displayed and the category you selected.

Communication Categories

Category: G. Account and security. Examples: One-time codes, sign-in alerts, password and security events, account recovery. Default: Enabled only as necessary for the authentication method you select Category: H. Operational. Examples: Account, assigned Shipment, pickup and delivery, support, claim and urgent exception communications. Default: Off. Email and in-Platform notices are used where you decline Category: I. Load notifications. Examples: Lane-matched Load Opportunities, a new offer, a Rate Confirmation requiring action. Default: Off Category: J. Documents and compliance. Examples: Missing documents, credential and insurance expiration, Verification status, action required. Default: Off. Email and in-Platform notices are used where you decline Category: K. Payment. Examples: Invoice and Settlement status, payment scheduled, paid or held, factoring verification, payment-security alerts. Default: Off Category: L. Marketing. Examples: Promotional offers, partner benefits, non-transactional campaigns. Default: Off. Separate prior consent required

G. Account and Security Messages

A security feature you affirmatively select, such as one-time codes by text message, requires the messages necessary to operate that feature.

H. Operational Messages

If you opt in to an operational category, Milestone may contact you about that category at the number you provided. Operational consent is not inferred from your having entered a telephone number in a profile. If you decline an optional channel, Milestone uses email or in-Platform notices, and some time-sensitive coordination may be less convenient.

I. Load Notifications

Load alerts are optional. Declining does not affect your access tier, Qualification or eligibility for any Load.

J. Document and Compliance Reminders

A reminder is a convenience. It does not transfer to Milestone your duty to maintain current authority, insurance, drivers and documents.

K. Payment Notifications

Payment-security alerts are sent to the contact of record. Milestone will never ask you to change a bank account, Factor or remittance instruction by replying to a message. See Article 18 of the Terms and Conditions.

L. Optional Marketing

Marketing and promotional calls and texts require your separate, optional consent. Marketing consent is not bundled with the Terms and Conditions, the Broker-Carrier Agreement, a Dispatcher Authorization, a Rate Confirmation or payment setup. It is not required to create an Account, to qualify, to see eligible Loads, to accept a Shipment, or to receive service through another available channel.

M. Telephone Calls

Milestone may call you about the categories you have selected. Ordinary outbound calls and texts are sent between 8:00 a.m. and 8:00 p.m. in the recipient’s local time, as a Milestone policy applying to every category. Where a state rule is narrower, the narrower rule applies. A verification code you have just requested, a reply to a message you sent, and a genuinely urgent safety notice concerning a Shipment in transit may be handled outside those hours where lawful. Marketing never uses the urgent-operations exception.

N. Artificial, Prerecorded and AI-Generated Voice

Technology. Where the consent you give at the point of collection expressly states it, Milestone or its service providers may use automated dialing or texting technology, a prerecorded voice, or an artificial voice, including a voice generated by artificial intelligence, for the category you selected. AI voice is an artificial voice. The Federal Communications Commission has confirmed that artificial intelligence technologies generating human voices, including voice cloning, fall within the meaning of “artificial or prerecorded voice.” Milestone treats an AI-generated voice under the rules applying to an artificial or prerecorded voice, and does not treat it as an exception because it sounds human or is described as an assistant. Identification. Every call Milestone places using an artificial or prerecorded voice states, at the beginning of the message, the identity of the business responsible for the call, and states during or after the message a telephone number at which that business can be reached. The number given is not a premium-rate number. Automated opt-out. Every marketing call Milestone places using an artificial or prerecorded voice includes an automated, interactive opt-out mechanism announced at the outset, available throughout the call, adding your number to Milestone’s suppression list immediately on use. Where the call reaches an answering machine or voicemail, the message includes a toll-free number connecting to an automated opt-out mechanism. Consent required. Milestone does not use an automated, prerecorded or artificial voice for marketing without the consent applicable law requires. An operational use also requires the consent or exemption applicable to that call type.

O. Revocation

Any reasonable method. You may revoke consent by any reasonable method. Milestone does not designate an exclusive means of revocation and does not treat a revocation as ineffective because it was not made in a particular way or through a particular channel. Effect and timing. Milestone records every revocation and applies the suppression promptly, and within the period applicable law requires. A revocation does not cancel an active Shipment, a payment obligation or a legal notice; Milestone may deliver a necessary operational or legal communication through another lawful channel. Do-not-call. A marketing do-not-call request is recorded on Milestone’s internal suppression list and does not expire because an Account is closed. A new consent never overwrites a prior revocation; the history remains auditable.

P. STOP and HELP

Reply STOP to a Milestone text message to stop that category. Reply HELP for assistance. You may also change preferences in the Account communication centre, use the unsubscribe link in marketing email, tell a caller that you revoke calls for a category, or email info@milestonebrokers.us identifying the number, channel or category you want stopped. After a STOP request or similar revocation, Milestone may send one confirmation message where permitted. That message contains no promotional content and does not ask you to reconsider. Message frequency and charges. Frequency varies with your Account, Shipment, document and payment activity and with the preferences you select. Message and data rates may apply. Mobile carriers are not liable for delayed or undelivered messages. Do not rely solely on a text message for a pickup, delivery, compliance, payment-dispute or claim deadline.

Q. Call Recording

Where Milestone records a call, an announcement is provided at the start of that call. If the announcement cannot be provided, the call is not recorded. If you do not want a recorded call, you may request an unrecorded alternative where one is operationally available. Recordings are used for quality, security, training and dispute handling, consistent with the Privacy Policy and applicable state law.

Number Changes and Reassignment

If you stop using a number, update your Account promptly. Milestone uses available reassignment and suppression tools and delivery feedback to reduce the risk of contacting a person who later receives your former number.

State Requirements

Some states impose stricter call and text windows, registration, consent, frequency, do-not-call or call-recording requirements. Where a stricter rule applies, Milestone applies it.

Language

This Consent is published in English, Russian and Spanish. The English version is the version Milestone presents for acceptance and is the version that governs its interpretation. A translation is provided for convenience. Where a translation differs from the English version, the English version controls. This Section does not limit a right that applicable law grants you in respect of a language in which a communication was made to you.

Changes and Contact

Where a material change requires renewed consent under applicable law, Milestone will present the new terms and obtain fresh acceptance before relying on the changed arrangement or using a new technology or purpose. Milestone Brokers LLC Milestone Carriers
